CNBC: Paul Rose, dean of the School of Law and business law attorney, said proxy advisory firms ISS and Glass Lewis control over 90% of their market and act as “de facto gatekeepers of corporate governance.” He warned their opaque operations and lack of fiduciary duty let institutional investors “outsource” voting decisions, heavily influencing corporate outcomes.
